Terms of Service

These terms govern use of the Naiku website and service. A customer's order form or other signed agreement may add to or replace parts of these terms for that customer.

1. Using Naiku

Naiku provides CRM, workflow, communications, integration, and related business software. You may use the service only for lawful business purposes and only if you have authority to bind the business you represent. You are responsible for your users, the accuracy and legality of information placed in the service, and keeping account credentials secure.

2. Accounts and customer workspaces

Each customer is assigned a private workspace. You may not access or attempt to access another customer's workspace, interfere with service operation, bypass security or usage limits, reverse engineer restricted components, or use the service to distribute malware, spam, unlawful content, or deceptive communications. Tell us promptly if you suspect unauthorized access.

3. Setup, subscriptions, and payment

Submitting a public setup request does not start a paid subscription. Pricing, included modules, billing dates, usage allowances, renewal, cancellation, and any implementation services are established in the applicable order form or billing authorization. Taxes and third-party usage charges may apply as stated there.

4. Customer data

As between Naiku and the customer, the customer retains its rights in the information it submits to the service. The customer gives Naiku permission to host, process, transmit, back up, and display that information as needed to provide and secure the service. The customer is responsible for notices, consents, and other legal bases required to collect and use its leads' and customers' information.

5. Facebook and other third-party services

Naiku can connect to services operated by Meta, Intuit, Google, communications providers, suppliers, and others. Those providers' terms and availability also apply. The customer must have authority to connect each account, grant only appropriate permissions, and comply with the provider's policies. Third-party services may change or restrict their APIs, review requirements, or features. Naiku is not responsible for a third party's independent service, but we will use reasonable efforts to maintain supported connections.

6. Privacy and security

Our Privacy Policy explains how Naiku handles information. Customers must configure appropriate user access and use the service consistently with privacy, advertising, telemarketing, recordkeeping, and consumer-protection laws that apply to their business.

7. Service changes and availability

We may improve, update, or replace service features. We may suspend access when reasonably needed to protect the service, respond to a legal requirement, prevent harm, or address nonpayment or a material breach. We do not promise uninterrupted operation, and beta or preview features may change or be withdrawn.

8. Ownership

Naiku and its licensors retain rights in the service, software, design, documentation, and trademarks. These terms grant only the limited right to use the service during the applicable subscription. Feedback may be used to improve Naiku without an obligation to compensate the person providing it.

9. Disclaimers and liability

To the extent permitted by law, the service is provided "as is" and "as available." Naiku disclaims implied warranties of merchantability, fitness for a particular purpose, and noninfringement. Naiku is not a law, tax, accounting, or payment adviser. To the extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, or consequential damages, or lost profits, revenues, goodwill, or data. Any additional limitations or remedies in a signed customer agreement control for that customer.

10. Ending use

A customer may stop using the service as provided in its order form. After termination, access may end and customer data may be deleted following the agreement, applicable law, and reasonable backup and security-retention periods. A customer should export information it needs before access ends.

11. Changes and contact

We may update these terms by posting a revised version and effective date. Material changes will receive additional notice when required. Questions may be sent to hello@naiku.app.
